Terms of Service

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of entering into a binding contract to use the Service. By using StayMetrics, you represent and warrant that you meet these requirements.

StayMetrics provides analytics, reporting, and performance insights for short-term rental hosts and property managers by aggregating data from third-party platforms (such as Airbnb, Vrbo, and Booking.com) and presenting it through our dashboard and tools. Features may be added, modified, or removed at our discretion.

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Be solely responsible for all activity under your account
• Notify us immediately of any unauthorized access or security breach

We may suspend or terminate accounts that contain false information or violate these Terms.

a. Plans and Pricing

Certain features of the Service require a paid subscription. Plan tiers, features, and pricing are described on our website and may be updated from time to time. Price changes will be communicated in advance and apply to subsequent billing periods.

b. Billing

Payments are processed through third-party payment processors (such as Stripe). By providing payment information, you authorize us and our processors to charge the applicable fees, taxes, and recurring charges to your designated payment method. Subscriptions automatically renew at the end of each billing period unless cancelled.

c. Refunds

Except where required by law, all fees are non-refundable. If you believe you have been charged in error, contact support@staymetrics.app within 30 days of the charge.

d. Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.

The Service depends on connections to third-party platforms (such as Airbnb, Vrbo, Booking.com, and Stripe). By connecting these accounts, you authorize StayMetrics to access and process data from those platforms on your behalf, in accordance with our Privacy Policy. You acknowledge that:

• Third-party platforms are operated by independent companies and are subject to their own terms and policies
• We do not control and are not responsible for third-party services, their availability, accuracy, or changes to their APIs
• Disruption, modification, or termination by a third party may affect the functionality of StayMetrics
• You must comply with all applicable third-party terms when using integrations through the Service

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose
• Reverse engineer, decompile, scrape, or attempt to extract source code from the Service
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or networks
• Resell, sublicense, or commercially exploit the Service without our written consent
• Upload viruses, malware, or other malicious code
• Impersonate another person or misrepresent your affiliation
• Violate the rights of third parties or the terms of any connected third-party platform
• Use the Service to collect personal information about other users without authorization

We reserve the right to investigate violations and to suspend or terminate accounts at our discretion.

The Service, including all software, text, graphics, logos, designs, and content (excluding User Content and third-party data), is owned by StayMetrics or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes, subject to these Terms.

"StayMetrics" and our logos are our trademarks. You may not use them without our prior written permission.

You retain ownership of any data, content, or information you submit to or generate through the Service ("User Content"), including data retrieved from connected third-party accounts on your behalf. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and analyze your User Content solely to provide and improve the Service.

You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party rights.

We strive to keep the Service available but do not guarantee uninterrupted access. The Service is provided on an "as available" basis and may be subject to outages, maintenance, or interruptions, including those caused by third-party platforms. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

StayMetrics provides analytics for informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of any data, metrics, projections, or recommendations. You are solely responsible for business decisions made in reliance on the Service. StayMetrics is not affiliated with, endorsed by, or sponsored by Airbnb, Vrbo, Booking.com, Stripe, or any other third-party platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYMETRICS AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST REVENUE, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless StayMetrics and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any law or third-party rights.

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, you and StayMetrics waive any right to a jury trial.

If you are a consumer located in the European Union, United Kingdom, or another jurisdiction where mandatory consumer-protection laws apply, nothing in these Terms limits your right to bring proceedings in the courts of your country of residence or to rely on mandatory local consumer protections.

We may revise these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. The "Last Updated" date reflects the most recent revision.

• Entire Agreement: these Terms and the Privacy Policy constitute the entire agreement between you and StayMetrics regarding the Service.
• Severability: if any provision is held unenforceable, the remaining provisions remain in full effect.
• No Waiver: our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms freely.
• Force Majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
